Transnational Corporate Finance Law (940M3)

Spring teaching

In this module, you’ll study the public and private dimensions of corporate finance law from a transnational perspective. You'll work with case studies from the UK, continental Europe (especially France and Germany), the US, and Asia. Each case study includes a strong cross‑border element.

The module focuses on legal challenges that affect multinational companies’ operations. These include:

  • jurisdiction and extraterritoriality
  • recognition of foreign judgments
  • judicial cooperation
  • conflict of laws.

You’ll look at key issues related to cross-border insolvencies, mergers and acquisitions (M&As), and corporate criminal liability, studying these issues in a global context.

You’ll also see how international and national laws work together and how soft initiatives support this link. These elements are essential to understanding the globalisation of business law.

You’ll study the cultural, economic and political forces that shape transnational laws, examining these themes through case studies.

Contact hours and workload

This module is approximately 300 hours of work. This breaks down into about 30 hours of contact time and about 270 hours of independent study. The University may make minor variations to the contact hours for operational reasons, including timetabling requirements.
